NOTICE OF MOTION

TO AMEND AND RESTATE THE CONSTITUTION OF BLIND SAILING INTERNATIONAL AND TO ADOPT BYLAWS OF BLIND SAILING INTERNATIONAL

WHEREAS, the existing BSI Constitution was drafted and adopted by the members of Blind Sailing International, an unincorporated non-juridical entity association of individuals and supporters of the blind sailing community many years ago;

WHEREAS, the existing BSI Constitution may contain many outdated or ineffectual provisions, and may not accurately reflect the current desires of the BSI Members;

WHEREAS, the BSI Members desire to amend and restate the existing BSI Constitution so that it may better reflect the desires of its Members and to provide a more efficient and effective structure under which the goals and objectives of BSI may be achieved;

WHEREAS, the existing BSI Constitution provides rules for its amendment in Article 8 which state the following:

8.         NOTICES OF MOTION

8.1       Amendments to the Constitution must be in the form of a Notice of Motion and signed by at least two financial Country and/or Organization/State Members.

8.2       Notices of Motion will be considered by a General or Special Meeting for which due notice has been given and the Notice of Motion and the case for it being considered, being circulated to all financial members, at least one month prior to the meeting called for this purpose.

WHEREAS, appropriate notices have been provided as required by Article 8 of the existing BSI Constitution concerning the amendment of the existing BSI Constitution;

NOW THEREFORE, BE IT RESOLVED as follows:

1. The existing BSI Constitution shall be amended and restated in its entirety as depicted in Attachment A to this Notice of motion and shall be hereby incorporated in its entirety by reference herein and adopted hereby.

2. From henceforth, the BSI Constitution shall be referred to as Amended and restated.

3.         The Bylaws of BSI as depicted in Attachment B to this Notice of motion shall be hereby incorporated in its entirety by reference herein and adopted hereby.

CERTIFICATE OF EXECUTIVE

I certify that the foregoing Notice of Motion to amend and restate the Constitution of Blind Sailing International (“BSI”) was adopted by the membership of BSI in compliance with Article 8 of the existing BSI Constitution on September ____, 2019, and that the new BSI Constitution as Amended and Restated, and Bylaws of BSI are currently in effect.
